1. Agreement to Terms & Acceptance
By accessing, creating an account on, or utilizing the MATG Material Intelligence Platform, BOM Analytics Platform, APIs, documentation, or related engineering services (collectively, the "Platform"), you ("Customer", "User", or "Organization") agree to be legally bound by these General Terms and Conditions ("Terms"). If you are entering into this agreement on behalf of an enterprise, company, or legal entity, you represent that you possess the full legal authority to bind that entity to these Terms.
2. Eligibility & User Accounts
Access to the Platform requires user registration with a valid professional business email address. You agree to:
- Provide accurate, complete, and up-to-date account profile information.
- Maintain strict confidentiality of user authentication credentials, passwords, and API tokens.
- Assign and manage access tiers and role-based permissions (Viewer, Engineer, Approver, Organization Administrator) in accordance with internal corporate governance policies.
- Promptly notify MATG security at contact@matg.in upon identifying any unauthorized account use or credential compromise.
3. Platform Scope & Services
MATG provides specialized cloud-based engineering intelligence software designed to manage material science records, ISO/ASTM property standards, multi-revision BOM costing models, date-effective resin indices, and approval sign-off audit trails. Features include:
- Material Intelligence Platform: Digitization, standardization, and ISO/ASTM mapping of technical data sheets (TDS), stress-strain behavioral curves, and 3-stage governance workflows.
- BOM Analytics Platform: Revision-by-revision assembly diffing, weight variance analysis, material substitution modeling, and date-effective cost calculations.
4. License Grant & Access Rights
Subject to timely subscription compliance and adherence to these Terms, MATG grants Customer a worldwide, non-exclusive, non-transferable, revocable license for authorized personnel to access and utilize the Platform during the active subscription term solely for internal engineering, costing, and manufacturing operations.
5. Acceptable Use Policy & Restrictions
Customer agrees not to, directly or indirectly:
- Reverse engineer, decompile, disassemble, or derive the source code, algorithmic weights, or architectural models of the Platform.
- Modify, copy, frame, mirror, or create derivative works based on the platform interface, visualization canvases, or underlying engine logic.
- Circumvent or attempt to defeat authentication safeguards, security controls, or multi-tenant database isolation barriers.
- Transmit malicious payloads, automated crawling bots, viruses, or disruptive scripts to the platform network.
- Upload or store files containing illegal content or materials that violate third-party intellectual property or trade secret covenants.
6. Customer Data Ownership & Intellectual Property
Customer retains 100% exclusive ownership, title, and all intellectual property rights in and to all Customer Data, including CAD metadata, proprietary material formulations, supplier pricing agreements, lab test results, TDS files, BOM hierarchies, and engineering notes. MATG claims no title, ownership, or commercial rights over Customer Data.
7. Artificial Intelligence & Data Ethics Guarantee
Customer Data, proprietary material specifications, and uploaded files are never used to train, fine-tune, or calibrate artificial intelligence or machine learning models. Automated data parsing, field extraction, and unit normalizations are executed in-memory strictly for the discrete processing operations requested by the Customer.
8. Confidentiality & Mutual Non-Disclosure
Each party agrees that all engineering datasets, financial models, material indices, technical specifications, and platform features disclosed during the business relationship constitute Confidential Information. Both parties agree to protect Confidential Information with the same degree of care used for their own sensitive assets (and not less than a reasonable standard of care) and not disclose it to unauthorized third parties without prior written consent.
9. Service Level, Availability & Maintenance
MATG uses commercially reasonable measures designed to maintain the availability, security, and reliability of the Platform. Availability may be affected by scheduled maintenance, emergency maintenance, third-party services, or circumstances beyond MATG's reasonable control.
10. Technical Calculations & Engineering Disclaimers
The Platform provides standardized computational engines, ISO/ASTM mapping frameworks, and simulation visualizers. While MATG strives for rigorous mathematical and physical precision:
- Calculations, cost trajectories, and stress-strain curves are decision-support tools and do not substitute for physical component validation or mandatory OEM certification protocols.
- Customer maintains ultimate responsibility for verifying structural suitability and safety compliance of physical manufactured assemblies.
11. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, production downtime, or business interruption) arising out of or in connection with the use of the Platform. MATG agrees to defend and indemnify Customer against third-party claims asserting that the Platform software infringes a valid intellectual property right.
12. Modifications, Suspension & Termination
MATG may periodically update these Terms to reflect technical innovations, legal compliance requirements, or new features. Material changes will be accompanied by reasonable notice. Either party may terminate a subscription agreement in accordance with the executed order form or upon thirty (30) days' written notice in the event of an uncured material breach.
13. Governing Law, Dispute Resolution & Contact
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
